Terms of service
The terms for organisations and IT providers that use EAISight.
Last updated: 3 November 2026
1. The agreement
EAISight is provided by Fulcrum IT Services Ltd, a company registered in England and Wales (company number 03741699), registered office Techsperience Ltd, 91 Brick Lane, London, E1 6QL, United Kingdom.
These terms apply between us and the organisation that signs up for EAISight, either directly or as an IT provider (a partner) (each a "customer"). The person accepting them confirms they are authorised to do so for that organisation. EAISight is a business service and is not offered to consumers. A separate signed agreement with us takes precedence over these terms where they differ.
2. The service
EAISight records the use of AI tools on Windows devices the customer manages and reports it in a web console, an API and an MCP server. We may improve and change the service, including the catalogue of AI tools it recognises, provided we do not materially reduce its core function during a paid period. We aim for high availability but, unless agreed in writing, do not guarantee a particular uptime.
3. Lawful monitoring is the customer's responsibility
For the people whose AI use is recorded, the customer (or, for a partner, its client organisation) is the controller. The customer must:
- install EAISight only on devices it owns or is entitled to manage;
- have a lawful basis for monitoring, and complete a data protection impact assessment where required (it is required before turning on prompt capture);
- tell staff clearly, before monitoring starts, what is recorded and why, for example by using the staff notice in the console; and
- use the information in line with employment and data protection law.
4. Acceptable use
The customer must not: use EAISight to monitor people covertly or outside work devices; attempt to access data of other organisations; probe, overload or disrupt the service (security research is welcome under our reporting process); resell the service except as a partner under these terms; or reverse engineer it except as the law allows. Customers are responsible for their console users and their credentials.
5. IT providers (partners)
- A partner may provide EAISight to its own clients and set its own prices for them.
- The partner is responsible for its clients' use of the service and for having an agreement with each client that covers monitoring and data processing at least as protective as section 7.
- Partner accounts are subject to our approval. Payments from clients to partners are processed through Stripe.
6. Fees
- Fees are charged monthly per active device, at the price shown when signing up or agreed with the customer's partner.
- Invoices are payable on the terms shown on them. If a payment fails and is not resolved within 14 days, we may suspend the account: devices stop uploading and keep their data until the account is reactivated.
- Prices may change with at least 30 days' notice; the new price applies from the next billing month.
7. Data processing terms
Where we process personal data for the customer (monitoring data), we act as processor (or as sub-processor to the customer's partner), and these terms form the contract required by Article 28 of the UK GDPR:
- Instructions: we process the data only to provide EAISight as configured by the customer, and on the customer's documented instructions, unless the law requires otherwise (in which case we will tell the customer unless the law forbids it).
- Subject matter: records of AI tool use by the customer's staff on its managed devices, and, if enabled, prompt text and AI-assisted search terms; for the duration of the agreement.
- Confidentiality: people authorised to process the data are bound by confidentiality.
- Security: we maintain the measures described on our security page.
- Sub-processors: the customer authorises those listed on the security page. We will give notice before adding one that handles monitoring data, so the customer can object, and we impose equivalent obligations on them.
- Assistance: we help the customer respond to data subjects' requests (the console provides exports and deletion), and with security, breach notification, impact assessments and consultations with the regulator.
- Breaches: we notify the customer without undue delay after becoming aware of a personal data breach affecting its data.
- End of service: at the end of the agreement we delete the customer's monitoring data, on request and in any case within 90 days, unless the law requires us to keep it. The customer can export its data before then.
- Audits: we make available the information needed to show compliance with this section and allow for reasonable audits, at reasonable notice and no more than once a year unless required by a regulator.
- Transfers: monitoring data is hosted in the UK; any transfer outside the UK is protected by appropriate safeguards.
8. Ownership
The customer owns its data. We own EAISight, including its software, catalogue and documentation, and grant the customer a non-exclusive right to use it during the agreement.
9. Warranties and liability
- We will provide the service with reasonable skill and care. Otherwise it is provided "as is"; EAISight shows the use of AI tools it recognises and cannot guarantee that every use of every AI tool is detected.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Each party's total liability in any 12 months is limited to the fees paid or payable by the customer in that period.
- Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited by law.
10. Ending the agreement
The customer can stop at any time by removing EAISight from its devices and closing its account; fees are due for months already started. We may end or suspend the agreement if the customer materially breaches these terms and does not put it right within 14 days of notice, or immediately where needed to protect the service or other customers. Sections 7 to 9 and 11 continue after the end.
11. General
We may update these terms; we will give at least 30 days' notice of changes that materially affect customers, by email to console administrators. Neither party is responsible for delays caused by events outside its reasonable control. These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
